TERMS OF SERVICE

Acceptance and updates

By accessing the MISTBOX website, connecting a wallet, joining a drop, purchasing a mystery box, receiving an NFT, accepting a buyback offer, or using any related service, you agree to these Terms.

We may update these Terms as the Platform develops. Updated Terms become effective when posted. If you do not agree to an update, you must stop using the Services.

The MISTBOX experience

MISTBOX is a Web3 mystery-box platform for real-world luxury goods and collectibles. A drop may include watches, handbags, jewelry, fashion items, collectibles, or other products described on the Platform.

Before opening, the Platform may display the box price, available reward categories, item quantities, published probabilities, reference values, applicable fees, and specific drop rules. After opening, the allocated item is revealed and a corresponding NFT or other on-chain claim record may be issued.

A mystery-box purchase is the purchase of a randomized experience. You do not acquire a right to any particular item until the reveal has been completed and the corresponding result has been allocated to you.

Eligibility and compliance

You must be at least 18 years old, or the legal age of majority in your jurisdiction if higher, and legally capable of entering into a binding agreement.

You may not use the Services where doing so would violate applicable law, sanctions, export controls, anti-money-laundering rules, or other legal restrictions. We may request identity, source-of-funds, shipping, tax, or compliance information when reasonably required.

Wallets and account security

Certain Services may require a compatible blockchain wallet. You are responsible for your wallet, device, private keys, seed phrases, passwords, recovery information, and every transaction authorized through them.

MISTBOX will never ask you to disclose a private key or seed phrase. Transactions made from a connected wallet may be treated as authorized by the wallet holder. We are not responsible for losses caused by compromised credentials, unsupported wallets, incorrect addresses, or user error.

Drops, odds and results

Opening composition and probabilities will be shown in the applicable box details. Where available, MISTBOX may use an on-chain or independently verifiable randomness mechanism and provide a transaction or proof reference for the result.

Published odds describe the drop at the relevant time and do not guarantee any particular result. A drop may close, pause, or be cancelled for inventory, security, compliance, technical, or operational reasons. If MISTBOX cancels a paid but unopened box, the applicable amount will be returned in the supported digital asset or by another method stated on the Platform.

NFT claim and ownership

An NFT issued after a reveal is intended to represent the holder's claim to the corresponding item recorded by MISTBOX. The NFT is not equity, debt, a security, a share of MISTBOX, or a promise of profit.

Transferring the NFT may transfer the associated claim, subject to the Platform's verification and redemption rules. Once the physical item is redeemed, the NFT may be burned, locked, marked as redeemed, or otherwise disabled to prevent duplicate claims.

Your three post-reveal options

An accepted redemption request, buyback offer, NFT burn, or completed blockchain transfer is final and cannot ordinarily be reversed.

• Redeem: request delivery of the corresponding physical item and complete any required identity, address, tax, customs, and shipping steps. The NFT may be burned or surrendered as part of redemption.
• Official buyback: accept an eligible MISTBOX buyback offer within the stated period. For a drop expressly labeled “100% Buyback,” the offer will equal 100% of the displayed reference value shown for that revealed item, subject to the drop rules, compliance checks, and any expressly disclosed network, tax, shipping, or service costs.
• Trade: list or transfer the NFT on a supported marketplace. Third-party marketplace transactions are governed by that marketplace's terms, fees, and technical rules.

Digital-asset payments

MISTBOX accepts only digital assets supported and displayed by the Platform, such as USDC.

Blockchain transactions are generally irreversible. You are responsible for selecting the correct network and asset, confirming the destination address, maintaining sufficient balances, and paying any disclosed network fees. Unsupported assets or assets sent through an unsupported network may be unrecoverable.

The value of a digital asset may change before, during, or after a transaction. Unless required by law or expressly stated in the applicable drop rules, completed mystery-box purchases are final and non-refundable.

Reference values, fees and taxes

A displayed value is a good-faith reference based on available market information and does not guarantee a future resale price. Product prices, reference values, fees, network costs, shipping, insurance, taxes, duties, and customs charges may be shown separately.

You are responsible for taxes, duties, reporting obligations, and other governmental charges arising from your use of the Services, ownership or transfer of an NFT, receipt of a buyback, or delivery of an item, except taxes imposed directly on MISTBOX's income.

Authentication, product information and custody

MISTBOX may use internal specialists and third-party service providers to authenticate, inspect, store, insure, value, and ship items. Product images and descriptions are prepared with reasonable care, but screens, photography, condition, packaging, measurements, and color may differ from the physical item.

Any item-specific authenticity statement, condition report, warranty, storage arrangement, or insurance coverage will be described in the applicable listing or drop materials. Brand names are used for identification only and do not imply sponsorship or endorsement unless expressly stated.

Shipping and redemption

Shipping availability, timing, carriers, insurance, restricted destinations, customs requirements, and fees vary by item and destination. You must provide complete and accurate delivery information and cooperate with any verification requested before dispatch.

Risk of loss and title transfer will be determined by the delivery terms shown when redemption is requested and applicable law. Claims concerning loss or damage may require carrier records, photographs, identity verification, and other reasonable evidence.

Prohibited use

• Using the Services for unlawful, fraudulent, deceptive, sanctioned, money-laundering, market-manipulation, or intellectual-property-infringing activity.
• Interfering with drop integrity, randomness, smart contracts, security controls, access restrictions, or another user's use of the Services.
• Using bots, scripts, exploits, multiple identities, or coordinated accounts to obtain an unfair advantage unless MISTBOX expressly permits that activity.
• Impersonating MISTBOX or another person, distributing malware, scraping protected areas, or attempting unauthorized access to the Platform or related infrastructure.

Third-party and blockchain services

The Services may rely on wallets, blockchains, oracle or randomness providers, marketplaces, storage providers, logistics partners, authentication providers, and other third parties. Their services are governed by their own terms and may be unavailable, delayed, changed, or discontinued.

MISTBOX does not control public blockchains or independent marketplaces and is not responsible for network congestion, forks, gas-price changes, smart-contract vulnerabilities outside our reasonable control, third-party outages, or a marketplace's acts or omissions.

Intellectual property

The Platform, MISTBOX name and marks, interface, software, artwork, copy, design system, and other original materials are owned by MISTBOX or its licensors and are protected by applicable intellectual-property laws.

You receive a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. You may not copy, reverse engineer, resell, frame, modify, or commercially exploit MISTBOX materials without permission, except where applicable law expressly allows it.

Service changes and termination

We may modify, pause, restrict, or discontinue a feature, drop, account, wallet connection, or the Services when reasonably necessary for security, compliance, maintenance, inventory, legal, or business reasons.

We may suspend or terminate access where we reasonably suspect prohibited activity, a legal violation, compromised credentials, abuse, or a risk to users or the Platform. Rights and obligations that by their nature should survive termination will remain effective.

Disclaimers and limitation of liability

The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee uninterrupted access, error-free software, continuous blockchain availability, a particular reveal, future market value, liquidity, or the availability of a third-party marketplace.

To the fullest extent permitted by law, MISTBOX and its service providers will not be liable for indirect, incidental, special, punitive, or consequential losses, loss of profits, loss of opportunity, loss of data, or losses caused by user-controlled wallets, public blockchains, or third-party services. Any mandatory liability that cannot lawfully be excluded remains unaffected.

No financial advice

MISTBOX is not your broker, investment adviser, fiduciary, tax adviser, or legal adviser. NFTs and physical luxury goods may be illiquid and their market values may rise or fall. Information on the Platform is provided for the mystery-box and ownership experience and should not be treated as investment advice or a guarantee of returns.

General terms and contact

If any provision of these Terms is unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. Events outside reasonable control, including network outages, natural disasters, sanctions, war, labor disruption, regulatory changes, or failures of essential infrastructure, may delay or prevent performance.

Questions, notices, or disputes should be submitted through the official support or legal contact channel published by MISTBOX. The operating entity, governing law, dispute forum, and formal notice details will be identified in the final launch version of these Terms.
